Pursuant to the approval accorded by the Board at its meeting held on June 12, 2026 and special resolution passed by the members of the Company by way of postal ballot on July 14, 2026, the Board has, at its meeting held today, i.e July 15, 2026 inter alia, considered and approved the Preliminary Placement Document dated July 15, 2026 together with the application form, opening of the Issue and the floor price.
Further to the outcome of the meeting of the Baord of Directors of the Company held today, i.e July 15, 2026, approving the proposed preferential issue of Equity shares and convertible warrants, the Company wishes to proivde the additional information in relation to the pricing of the proposed preferential issue.

We wish to inform you that the Board of Directors of Ather Energy Limited ("the Company") at its meeting held on May 04, 2026, has approved the audited financial statements of the Company for the financial year ended March 31, 2026, together with the notes and schedules thereto and the audit report thereon, including the comparative figures for the financial year ended March 31, 2025, prepared in accordance with the applicable provisions of the Companies Act, 2013 and the applicable accounting standards. A copy of the audited financial statements along with the audit report thereon is enclosed herewith for your records.
