The Board of Directors of the Company, at its meeting held on August 13, 2026, considered and approved the Unaudited Financial Results (Consolidated and Standalone) of the Company for the quarter ended June 30, 2026, as recommended by the Audit Committee. Pursuant to Regulation 33 and other applicable regulations of the Listing Regulations, we enclose the unaudited Financial Results (Consolidated and Standalone) for the quarter ended June 30, 2026 along with the Limited Review Reports issued by the Statutory Auditors thereon, are enclosed herewith.
In continuation of our intimation dated August 5, 2026 and pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ('Listing Regulations'), we wish to inform you that the Board of Directors of the Company, at its meeting held on August 13, 2026, which commenced at 12:30 p.m. and concluded at 04:25 p.m., inter alia, considered and approved the following: a) The Unaudited Financial Results (Consolidated and Standalone) of the Company for the quarter ended June 30, 2026, as recommended by the Audit Committee; b) Convening the 31st Annual General Meeting ('AGM') of the Company on Friday, September 25, 2026 through Video Conferencing ('VC') / Other Audio-Visual Means ('OAVM').
In furtherance to our intimation about holding of EOGM, the copies of Newspaper Advertisement published today, i.e. July 31, 2026 in Free Press Gujarat- English Language and Lokmitra - Gujarat Language, is attached herewith.
Pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with Part A of Schedule III thereto, we hereby inform you that the Company has entered into a Supplemental Agreement dated July 13, 2026 with Jhaveri Credits and Capital Limited, a promoter group entity of the Company, for amendment of the existing Loan Agreement dated May 7, 2025. The details as required under Regulation 30 of the SEBI Listing Regulations read with SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026 are enclosed as Annexure.
Pursuant to Regulation 74(5) of the Securities and Exchange Board of India (Depositories and Participants) Regulations, 2018, please find enclosed a copy of the certificate for the quarter ended June 30, 2026 as received from MCS Share Transfer Agent Limited, Registrar and Share Transfer Agent (RTA) of the Company.
Pursuant to provisions of the SEBI (Prohibition of Insider Trading) Regulations, 2015 as amended by SEBI (Prohibition of Insider Trading) (Amendment) Regulations, 2018 and in accordance with the code of conduct to regulate, monitor and report trading by Directors, Promoters, Designated Employees and Specified Connected Persons of the Company, the Trading Window for dealing in securities of the Company will remain closed from July 1, 2026 for the purpose of Consideration and Approval of Unaudited Financial Results for the quarter ended June 30, 2026. The Trading Window shall remain closed till 48 hours after the declaration of Unaudited Financial Results for the quarter ended June 30, 2026.
